The Products and/or Services that Excel Square provides to you are subject to the following Terms of Use. Excel Square reserves the right to update the Terms of Use at any time without any notice to you. The latest version of the Terms of Use can be reviewed by clicking on the “Terms” link located at the bottom of web pages on our website. The Terms of Use is applicable for any user who interacts with Excel Square or any of its Products, Services or brands that are collectively referred to as “Services” of Excel Square.

Privacy: Your Privacy is important to us. Please read our “Privacy Statement” to understand how we collect and use information pertaining to you

Any software that is made available to download as a part of the services rendered by Excel Square is the copyrighted work of Excel Square and/or its suppliers. This would include the source code, images, other electronic or otherwise files, user guides, help documents or any such material that is designed for use along with the software or service. Use of the Software is governed by the terms of the end user license agreement, if any, which accompanies or is included with the Software (“License Agreement”). An end user may be unable to install any Software that is accompanied by or includes a License Agreement, unless the user agrees to the License Agreement terms. If any third party components are used in any of the Services or Products, they would be licensed to you by the respective third party and not Excel Square.

The Products or Software is made available for download solely for use by end users according to the License Agreement. Any reproduction or redistribution of the Software not in accordance with the License Agreement is expressly prohibited by law and would be treated as violations, which may result in civil and criminal penalties. Similarly any documents, videos or other material provided as a part of the Services may be used for informational purposes, for personal use, or within your normal business operations, but shall not be republished, distributed or made available to the public through public media, a network, or any other means.

Unless otherwise agreed in writing, the Services provided by Excel Square are for your personal use or use within your normal business operations. Except as permitted by the applicable License Agreement, you may not modify, copy, distribute, transmit, display, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products or services that are obtained from the Services.

The Services provided by Excel Square including any files, graphics, images, is provided AS IS and Excel Square and any of its licensors cannot warrant the performance or suitability for any specific purpose or results that you may obtain by using them. In no event shall Excel Square be liable for any Incidental, Consequential or Punitive damages whatsoever arising out of the use of the Services or any material as a part of any of these, including any loss that you may have suffered. The above limitation may not apply in cases where some laws do not allow exclusion or limitation of liability for incidental or consequential damages. However, in no event whatsoever, shall Excel Square’s total liability (of all sorts) exceed the price that you have paid for availing the Service.

You agree that any dispute or claim of any nature arising out of your use of Services shall only be litigated in the applicable Courts of Bengaluru, State of Karnataka, India, and also agree for personal jurisdiction in these courts.

End User License Agreements

Each Excel Square software product is governed by its End User License Agreement below, together with the Terms of Use above. Where they conflict, the product's End User License Agreement prevails.

PlanDeer - End User License Agreement

This End User License Agreement ("Agreement") is a legal agreement between you (either an individual or an entity) and Excel Square Tech Private Limited ("Excel Square") for the PlanDeer software product, including its Excel planning workbooks and templates, the PlanDeer launcher, licensing components, and documentation (collectively, the "Software"). By installing, accessing, or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree, do not install or use the Software.

1. License Grant. Excel Square grants you a non-exclusive, non-transferable, revocable license to install and use the Software on devices you own or control, up to the number of devices or users covered by your license, for your personal use or for use within your organization's business (including commercial work), subject to this Agreement. You may not resell, rent or sublicense the Software, or provide it to third parties as a hosted or managed service.

2. Editions. PlanDeer is offered in the following editions: (a) PlanDeer Free, a no-cost edition with a limited set of features that does not expire; (b) PlanDeer, the paid edition, which may be evaluated with full features for thirty (30) days, after which a valid activation is required to continue using its full features for the applicable subscription or license term; and (c) PlanDeer Corporate, licensed to organizations, where any separate written terms agreed with Excel Square prevail over this Agreement to the extent they conflict.

3. Licensed, Not Sold. The Software is licensed, not sold. Excel Square and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. The plans and content you create with the Software belong to you, and you may share your plan files with others; anyone who wishes to open or work with a shared plan using PlanDeer's features needs their own installation of PlanDeer.

4. Restrictions. Except as expressly permitted by your license or by applicable law, you shall not: (a) copy the Software (other than installing it on your licensed devices and keeping reasonable backup copies), or distribute, sublicense, rent, lease, or lend it; (b) reverse engineer, decompile, disassemble, or attempt to derive the source code, macros, or algorithms of the Software or its licensing components; (c) circumvent or disable any licensing, activation, encryption, or protection mechanism; or (d) remove or alter any proprietary notices.

5. Activation and Data. Activation uses a computer-specific code and does not transmit your plans or personal documents to Excel Square. Your plan files are created and stored on your own computer. You are responsible for keeping your activation details and any purchase references, and for backing up your plan files.

6. Third-Party Software and Distribution. The Software requires Microsoft Excel, which is licensed to you separately by Microsoft. If you obtained the Software through the Microsoft Store, this Agreement is between you and Excel Square, not Microsoft.

7. Termination. This Agreement terminates automatically if you breach any term. Upon termination, you must stop using and remove the Software. Sections concerning ownership, disclaimers, and limitation of liability survive termination.

8. Disclaimer of Warranty. THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXCEL SQUARE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING FROM OR RELATED TO YOUR USE OF THE SOFTWARE. EXCEL SQUARE'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE, IF ANY.

10. Entire Agreement. This Agreement, together with the Terms of Use published at excelsquare.com/terms, constitutes the entire agreement between you and Excel Square regarding the Software and supersedes any prior understanding.

JiffySlider - End User License Agreement

This End User License Agreement ("Agreement") is a legal agreement between you (either an individual or an entity) and Excel Square Tech Private Limited ("Excel Square") for the JiffySlider software product, including the PowerPoint add-in, associated components, and documentation (collectively, the "Software"). By installing, accessing, or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree, do not install or use the Software.

2. Trial and Editions. The Software may be used for an evaluation period of thirty (30) days with full features. After the trial, unless a valid activation is applied, the Software continues to operate with a limited ("Free") set of features. A paid activation unlocks the full feature set for the applicable subscription or license term.

3. Licensed, Not Sold. The Software is licensed, not sold. Excel Square and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXCEL SQUARE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING FROM OR RELATED TO YOUR USE OF THE SOFTWARE. EXCEL SQUARE'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE, IF ANY.
